2. Purpose of these Terms of Use

These terms of use (the “Terms”) govern access to and use of the Platform.

Donaki Members is a community platform enabling users, among other things, to create an account, publish content, interact with other members, use social features, access communication areas and use the tools made available on the Platform.

3. Acceptance

By accessing the Platform, creating an account or using all or part of its features, you acknowledge that you have read and accepted these Terms.

If you do not accept these Terms, you may not use the Platform.

4. Free service

Standard access to Donaki Members is provided free of charge.

Unless expressly stated otherwise for a specific feature, use of the Platform does not require any payment from the user.

Any personal data processed in connection with the use of the Platform is processed in accordance with the Donaki Members Privacy Policy.

5. Access conditions and user account

Certain features require the creation of an account.

You agree to provide accurate, complete and up-to-date information when registering and throughout the period of use of your account.

You are responsible for maintaining the confidentiality of your login details and for the use of your account, except in the case of fraudulent use not attributable to you.

You agree to inform Donaki Members without delay of any unauthorised use of your account or any breach of its security.

6. Rules of use

You agree to use the Platform fairly, lawfully and in accordance with its purpose.

In particular, it is prohibited to:

create an account in the name of a third party without authorisation;
impersonate another person or mislead other users;
use the Platform for illegal, fraudulent, abusive or deceptive purposes;
circumvent security, access restriction or moderation measures;
disrupt the proper functioning of the Platform;
use robots, scripts, automated collection tools or similar processes without prior written authorisation;
distribute viruses, malware, dangerous links or content likely to compromise the security of the Platform;
infringe the rights, reputation, privacy or safety of others.

7. Prohibited content and behaviour

You may not publish, transmit, share, store or make available on the Platform any content that is:

contrary to law or public order;
defamatory, insulting, threatening, violent, hateful, discriminatory or harassing;
contrary to human dignity;
infringing privacy, image rights or third-party rights;
infringing intellectual property rights;
fraudulent, misleading or constituting a scam;
constituting spam, unauthorised advertising or abusive solicitation;
likely to harm the security, integrity or proper functioning of the Platform.

8. Content published by users

You retain the rights you hold over the content you publish.

However, in order to allow the normal operation of the Platform, you grant Donaki Members a non-exclusive, free, worldwide licence, limited to the needs of operating the service, allowing it to host, store, reproduce, display, technically adapt and make your content accessible, solely for the purpose of:

providing the Platform and its features;
displaying your content in accordance with your actions and settings;
ensuring security, backup, moderation and abuse prevention;
technically improving the service.

This licence ceases for the future when the content is deleted, subject to reasonable backups, legal obligations, technical requirements, content already reshared according to the Platform’s features, and the need for evidence or legal defence.

You warrant that you have the necessary rights over the content you publish.

9. Moderation and reporting

Donaki Members may provide reporting tools.

We are not required to carry out general monitoring of all content published on the Platform. However, we may review, hide, restrict, unpublish or delete content, or limit certain account features, where such action appears justified, in particular in the event of:

violation of these Terms;
receipt of a report;
risk to the security of the Platform or its users;
legal obligation;
infringement of a third party’s rights.

10. Private messages and restricted areas

Certain areas of the Platform may be intended for private exchanges or restricted access.

These areas are not subject to permanent general monitoring. However, Donaki Members may access strictly necessary information where justified, in particular to:

handle a report;
respond to a legal obligation or a request from a competent authority;
protect the security of the Platform or its users;
prevent, detect or address fraud, abuse or a serious infringement of a third party’s rights.

11. Intellectual property of the Platform

Unless otherwise stated, the Platform, its name, distinctive signs, texts, graphic elements, interfaces, features, software, databases, structure and content belonging to Donaki Members or its licensors are protected by applicable intellectual property rights.

No ownership right or general licence is transferred to you solely by using the Platform.

Unless expressly authorised in writing or permitted by law, you may not copy, reproduce, adapt, distribute, sell, rent, extract, reuse, decompile, disassemble or exploit all or part of the Platform.

12. Links, third-party services and affiliate links

The Platform may contain links, integrations, references or access to third-party services, content, websites or tools.

Unless expressly stated otherwise, these third parties act under their own responsibility. Donaki Members does not control all of their content, terms or policies and is not a party to any contractual relationships that may be entered into between you and these third parties.

Certain links or content displayed on the Platform may be affiliate links, in particular to Amazon or other partner websites.

As an Amazon Associate Scorpius XI srl earns from qualifying purchases.

This notice applies to links, content, buttons, recommendations, lists, pages or features of the Platform that may redirect to Amazon under the Amazon Associates Program.

13. Availability and evolution of the Platform

Donaki Members uses reasonable efforts to ensure the proper functioning, security and accessibility of the Platform.

However, the Platform is an evolving online service. It may at any time be subject to updates, fixes, maintenance operations, migrations, reconfigurations, page redesigns, technical changes or feature developments.

We do not guarantee that the Platform will be accessible at all times or that it will be free from bugs, errors, interruptions, temporary unavailability, slowdowns, display anomalies, technical incompatibilities or temporary loss of functionality.

We may temporarily suspend, limit or interrupt all or part of the Platform for reasons including maintenance, security, technical improvement, abuse prevention or legal compliance.

14. Suspension or closure of the account

Donaki Members may suspend, restrict or close all or part of an account, temporarily or permanently, in particular in the event of:

violation of these Terms;
illegal, abusive or fraudulent use of the Platform;
risk to the security of the Platform or its users;
request from a competent authority;
prolonged inactivity, where relevant.

Where reasonably possible, we may inform the user concerned of the measure taken and the reason for it.

The user may also request the closure of their account at any time via the available tools or by contacting: support@donaki.com.

15. Effects of account closure

In the event of account closure:

access to the Platform or to certain features may cease;
certain content may become inaccessible or be deleted;
certain data may be retained to the extent necessary to comply with legal obligations, ensure security, prevent abuse, manage disputes or defend legal claims, in accordance with the Privacy Policy.

16. Personal data and cookies

The processing of personal data carried out in connection with Donaki Members is governed by the Privacy Policy.

The use of cookies and similar technologies is governed by the Cookie Policy.

17. Liability

Donaki Members is a free service, provided as is, with the technical limitations inherent to any evolving online service.

We use reasonable efforts to ensure the proper functioning, security and accessibility of the Platform, but we do not guarantee that it will be accessible at all times or that it will be free from bugs, errors, interruptions, temporary unavailability, slowdowns, display anomalies, technical incompatibilities or temporary loss of functionality.

The Platform may at any time be subject to updates, fixes, maintenance operations, migrations, reconfigurations, page redesigns or feature developments that may temporarily cause errors, disruptions or malfunctions.

Except in cases of wilful misconduct, gross negligence or in other cases where the law prohibits such limitation, Donaki Members shall not be held liable for damage resulting solely from:

temporary unavailability of the Platform;
a bug, fatal error, display error or occasional malfunction;
a maintenance operation, fix, deployment, migration, reconfiguration or technical evolution of the Platform;
force majeure, network failure, technical incompatibility or an act attributable to a third party or to the user;
content published by users or third parties;
acts, omissions or behaviour of other users or third parties.

Nothing in these Terms is intended to exclude or limit liability that cannot be excluded or limited under applicable law.

19. Modification of the Terms

Donaki Members may modify these Terms to take into account, in particular:

legal or regulatory developments;
changes to the Platform or its features;
security, compliance or abuse prevention reasons;
editorial or organisational adjustments.

The applicable version is the one published on the Platform with its last update date.

In the event of a substantial modification, we may inform users by any appropriate means.

If you continue to use the Platform after the new version enters into force, you accept the modified Terms, without prejudice to your legal rights and your ability to stop using the Platform.

20. Partial invalidity and absence of waiver

If any provision of these Terms is declared null, invalid or unenforceable, it shall be interpreted or reduced to the extent necessary to make it valid where possible. Failing that, it shall be deemed unwritten, without affecting the validity of the other provisions.

The fact that Donaki Members does not rely, at a given time, on any provision of these Terms may not be interpreted as a waiver of its right to rely on it later.

21. Applicable law and competent jurisdiction

These Terms are governed by Belgian law.

In the event of a dispute, the Belgian courts shall have jurisdiction, without prejudice to mandatory rules applicable where the user acts as a consumer.

22. Language

These Terms are drafted in French.

If a translated version is made available for informational purposes, the French version shall prevail in the event of contradiction, subject to applicable mandatory rules.
