2. Purpose of these Terms of Service

These Terms of Service (the “Terms”) govern access to and use of the Platform.

Donaki Members is a community platform that allows users to create an account, publish content, interact with other members, use social features, access communication spaces, and use the tools available on the Platform.

3. Acceptance

By accessing the Platform, creating an account, or using any or all of its features, you acknowledge that you have read and agree to these Terms.

If you do not agree to these Terms, you may not use the Platform.

4. Free Service

Standard access to Donaki Members is provided free of charge.

Unless expressly stated otherwise for a specific feature, use of the Platform does not require any payment from the user.

Any personal data processed in connection with the use of the Platform is done so in accordance with the Donaki Members Privacy Policy.

5. Access Conditions and User Account

Some features require the creation of an account.

You agree to provide accurate, complete, and up-to-date information when registering and throughout the duration of your account use.

You are responsible for maintaining the confidentiality of your login credentials and the use of your account, except in cases of fraudulent use that are not attributable to you.

You agree to notify Donaki Members immediately of any unauthorized use of your account or any breach of its security.

6. Terms of Use

You agree to use the Platform fairly, lawfully, and in accordance with its intended purpose.

In particular, it is prohibited to:

• create an account in the name of a third party without authorization;
• impersonate or deceive other users;
• use the Platform for illegal, fraudulent, abusive, or deceptive purposes;
• circumvent security, access restriction, or moderation measures;
• disrupt the proper functioning of the Platform;

7. Prohibited Content and Behavior

You may not post, transmit, share, store, or make available on the Platform any content that:

• is contrary to law or public order;
• is defamatory, abusive, threatening, violent, hateful, discriminatory, or harassing;
• is an affront to human dignity;
• is an infringement of privacy, image rights, or the rights of third parties;
• is an infringement of intellectual property rights;
• is fraudulent, deceptive, or constitutes a scam;
• is spam, unauthorized advertising, or abusive solicitation;
• is likely to harm the security, integrity, or proper functioning of the Platform.

8. User-Generated Content

You retain all rights to the content you publish.

However, to enable the normal operation of the Platform, you grant Donaki Members a non-exclusive, royalty-free, worldwide license, limited to the operational needs of the service, to host, store, reproduce, display, technically adapt, and make your content available, solely for the following purposes:

• to provide the Platform and its features;
• to display your content in accordance with your actions and settings;
• to ensure security, backup, moderation, and abuse prevention;
• to technically improve the service.

This license terminates for the future when the content is deleted, subject to reasonable safeguards, legal obligations, technical necessities, content already reshared according to the Platform's functionalities, and the need for evidence or legal defense.

You guarantee that you have the necessary rights to the content you publish.

9. Moderation and Reporting

Donaki Members may provide reporting tools.

We are not obligated to monitor all content published on the Platform.

However, we may review, hide, restrict, unpublish, or delete content, or limit certain account features, when such action appears justified, particularly in the event of:
• a violation of these Terms of Service;
• report received;
• a risk to the security of the Platform or users;
• a legal obligation;
• infringement of the rights of a third party.

10. Private Messages and Restricted Areas

Certain areas of the Platform may be intended for private or restricted-access exchanges.

These areas are not subject to continuous general monitoring.

Donaki Members may, however, access strictly necessary information when justified, in particular to:
• process a report;
• comply with a legal obligation or a request from a competent authority;
• protect the security of the Platform or users;
• prevent, detect, or address fraud, abuse, or serious infringement of a third party's rights.

11. Intellectual Property of the Platform

Unless otherwise indicated, the Platform, its name, distinctive signs, text, graphics, interfaces, functionalities, software, databases, structure, and content belonging to Donaki Members or its licensors are protected by applicable intellectual property rights.

No ownership rights or general licenses are transferred to you simply by using the Platform.

Except with express written authorization or as permitted by law, you may not copy, reproduce, adapt, distribute, sell, rent, extract, reuse, decompile, disassemble, or exploit all or any part of the Platform.

12. Links and Third-Party Services

The Platform may contain links, integrations, references, or access to third-party services, content, websites, or tools.

Unless expressly stated otherwise, these third parties act under their own responsibility.

Donaki Members does not control all of their content, terms, or policies and is not a party to any contractual relationships that may be entered into between you and these third parties.

13. Platform Availability and Evolution

Donaki Members implements reasonable measures to ensure the proper functioning, security, and accessibility of the Platform.

However, the Platform is an evolving online service.

It may be subject to updates, patches, maintenance, migrations, reconfigurations, page redesigns, technical modifications, or feature enhancements at any time. We do not guarantee that the Platform will be continuously accessible or free from bugs, errors, interruptions, temporary unavailability, slowness, display anomalies, technical incompatibilities, or temporary loss of functionality. We may temporarily suspend, limit, or discontinue all or part of the Platform for reasons including maintenance, security, technical improvement, abuse prevention, or legal compliance. 14. Account Suspension or Closure

Donaki Members may suspend, restrict, or close all or part of an account, temporarily or permanently, particularly in the event of:

• violation of these Terms of Service;
• illegal, abusive, or fraudulent use of the Platform;
• risk to the security of the Platform or users;
• request from a competent authority;
• prolonged inactivity, when relevant.

When reasonably possible, we may inform the user concerned of the action taken and its reason.

15. Effects of Account Closure

If your account is closed:

• Access to the Platform or certain features may cease;
• Some content may become inaccessible or be deleted;
• Certain data may be retained to the extent necessary to comply with legal obligations, for security, abuse prevention, dispute resolution, or legal defense, in accordance with the Privacy Policy.

16. Personal Data and Cookies

The processing of personal data carried out within the framework of Donaki Members is governed by the Privacy Policy.

The use of cookies and similar technologies is governed by the Cookie Policy.

17. Liability

Donaki Members is a free service, provided "as is," with the inherent technical limitations of any evolving online service.

We implement reasonable measures to ensure the proper functioning, security, and accessibility of the Platform, but we do not guarantee that it will be continuously accessible or free from bugs, errors, interruptions, temporary unavailability, slowness, display anomalies, technical incompatibilities, or temporary loss of functionality.

The Platform may be subject at any time to updates, patches, maintenance, migrations, reconfigurations, page redesigns, or feature enhancements that may temporarily cause errors, disruptions, or malfunctions.

Except in cases of fraud, gross negligence, or other circumstances where prohibited by law, Donaki Members shall not be liable for any damage resulting solely from :

• temporary unavailability of the Platform;
• a bug, fatal error, display error, or occasional malfunction;
• maintenance, patching, deployment, migration, reconfiguration, or technical upgrade of the Platform;
• force majeure, network failure, technical incompatibility, or an event attributable to a third party or the user;
• content published by users or third parties;
• acts, omissions, or behavior of other users or third parties.

No provision of these Terms of Use is intended or intended to exclude or limit any liability that cannot be excluded under applicable law applicable.

19. Terms of Service Modification

Donaki Members may modify these Terms of Service to take into account, in particular:

• editorial or organizational adjustments.

The applicable version is the one published on the Platform with its last update date.

In the event of a substantial modification, we may inform users by any appropriate means.

If you continue to use the Platform after the new version comes into effect, you accept the modified Terms of Service, without prejudice to your legal rights and your right to cease using the Platform.

20. Partial Invalidity and No Waiver

If any provision of these Terms and Conditions is declared void, invalid, or unenforceable, it will be interpreted or reduced to the extent necessary to make it valid, if possible. Otherwise, it will be deemed unwritten, without affecting the validity of the other provisions.

21. Governing Law and Jurisdiction

These Terms and Conditions are governed by Belgian law.

In the event of a dispute, the Belgian courts shall have jurisdiction, without prejudice to the mandatory rules applicable when the user is acting as a consumer.

22. Language

These Terms and Conditions are written in French.

If a translated version is provided for informational purposes, the French version shall prevail in case of any conflict, subject to any applicable mandatory rules.
